Certificate Dating
Please be aware that Massachusetts Secretary of State backdates all certificates one business day from the day the certificate is produced except in instances where the certificate is issued as direct evidence of a corporate filing submitted over the counter with original signatures.
Electronic vs Gold Seal
Electronic certificates are emailable black and white certificates for which there is no hard copy of the document. They include an electronic version of the state seal and a validation # which may be used to verify authenticity of the certificate at the Massachusetts Corporations Division website. All electronic certificates include the transaction fee described at the bottom of this page.
Gold Seal certificates are originally issued documents with an official gold state seal affixed.
For certificates that are available in both formats, PCS will obtain the electronic format by default unless instructed otherwise.
