What is a Registered Agent?


A Registered Agent is a company or person designated to receive service of process on behalf of an entity in any particular state in which the entity is conducting business. Most states have statutes requiring that business entities, including but not limited to Corporations, Limited Liability Companies (LLCs) and Limited Partnerships (LPs), designate a registered agent with a physical address within the state in which they are conducting business in order to insure that anyone serving process on the entity will have option to do so at an address within the state. The physical address of the Registered Agent is considered the Registered Office address. Registered agents also routinely receive and forward other important government notices as well.  The Registered Agent’s primary function is to accept such notices or Services of Process and forward on to the entity.

Failure to maintain a Registered Agent can result in administrative dissolution or revocation of your entity’s authority to conduct business within a state and may result in monetary penalties.
